Overview

Welcome to Nueve Code! The terms "we", "us" and "our" refer to Nueve Code. Nueve Code operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Nueve Code is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree, you should not use or access our Services.

Nothing in these Terms affects your statutory rights as a consumer under UK law, including the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013. Where these Terms conflict with your non-excludable legal rights, your legal rights prevail.

Section 1 — Access and Account

By agreeing to these Terms, you confirm that you are at least 18 years old (or the age of majority in your country of residence). If you allow a minor in your care to use the Services on a device you own or manage, you accept responsibility for their use.

To use the Services — including browsing our store or purchasing products — you may be asked to provide certain information, such as your email address, billing, payment and shipping details. You confirm that all information you provide is correct, current and complete, and that you have all rights necessary to provide it.

You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to anyone else.

Section 2 — Our Products

We make every effort to represent our products accurately in our online store. However, colours and product appearance may differ from how they appear on your screen, depending on your device and its settings.

Descriptions of products may change at any time without notice at our discretion. We may discontinue any product at any time and may limit the quantities we offer to any person, geographic region or jurisdiction on a case-by-case basis.

This does not affect your statutory rights: goods we supply to you as a consumer must be as described, of satisfactory quality and fit for purpose under the Consumer Rights Act 2015.

Section 3 — Orders

When you place an order, you are making an offer to purchase. Nueve Code may accept or decline your order at its discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before your order is accepted. Please review your order carefully before submitting it, as we may be unable to accommodate changes once an order is accepted (this is separate from your legal right to cancel — see our Return & Refund Policy [LINK]). If we do not accept, change or cancel an order, we will try to notify you using the email, billing address and/or phone number you provided.

Your purchases are subject to return or exchange in accordance with our Return & Refund Policy [LINK] and your statutory rights.

You confirm that your purchases are for your own personal or household use and not for commercial resale or export.

Section 4 — Prices and Payment

The price charged will be the price in effect when you place your order, as set out in your order confirmation email. Prices, discounts and promotions may change without notice, but changes will not affect orders we have already accepted.

In line with UK price transparency rules, the total price you see for a product before checkout includes VAT (where applicable) and any mandatory charges. Delivery costs are shown to you clearly before you complete your order. Optional charges, and any customs or import charges for international deliveries, will be identified separately.

If a promotion has its own terms and those terms conflict with these Terms, the promotion terms apply to that promotion.

You agree to provide current, complete and accurate purchase and payment information, and to keep it up to date so we can complete your transactions and contact you when needed. You confirm that you are authorised to use the payment method you provide.

Section 5 — Shipping and Delivery

All delivery times are estimates and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or other events outside our reasonable control, and we will let you know if we become aware of an unexpected delay.

If you are a consumer, the goods are your responsibility (and risk of loss or damage passes to you) only once they are delivered to you or to someone you have nominated to receive them — not when we hand them to the carrier. Ownership passes to you once we have received payment in full.

Section 6 — Intellectual Property

Our Services, including all trade marks, brands, text, displays, images, graphics, reviews, video and audio, and their design, selection and arrangement, are owned by Nueve Code, its affiliates or licensors, and are protected by UK and international intellectual property laws, including the Copyright, Designs and Patents Act 1988 and applicable trade mark laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material on the Services without our prior written consent. Except as expressly set out here, nothing in these Terms grants you any licence or rights under any patent, trade mark, copyright or other intellectual property of Nueve Code, Shopify or any third party. All rights not expressly granted are reserved by Nueve Code.

Nueve Code's names, logos, product and service names, designs and slogans are trade marks of Nueve Code or its licensors, and you must not use them without our prior written permission. Shopify's marks are trade marks of Shopify. All other marks on the Services belong to their respective owners.

Section 7 — Optional Tools

You may be given access to third-party tools as part of the Services, which we do not monitor or control. We provide access to these tools "as is" and "as available" without warranties of any kind and without endorsement, and we are not liable for your use of them. Use of any optional third-party tool is at your own discretion, and you should review and be comfortable with the relevant third party's terms. New features and tools we add in future form part of the Services and are subject to these Terms.

Section 8 — Third-Party Links

The Services may contain links to websites operated by third parties. We are not responsible for the content or accuracy of third-party sites, and if you choose to visit them you do so at your own risk. We are not liable for any loss related to your use of third-party websites or your dealings with them. Please review their policies before engaging in any transaction, and direct any complaints about their products or services to the relevant third party.

Section 9 — Relationship with Shopify

Nueve Code is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Nueve Code. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Nueve Code, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Nueve Code.

Section 10 — Privacy Policy

All personal information we collect through the Services is subject to our Privacy Policy [LINK], and certain personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and third parties that may be located outside the UK. Please review our Privacy Policy [LINK] for details of how we, Shopify and our partners use your personal information.

Section 11 — Reviews and Feedback

If you submit ideas, suggestions, feedback, reviews, proposals or other content ("Feedback"), you grant us a perpetual, worldwide, sub-licensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use, to operate, improve and promote the Services. This licence does not affect your privacy rights, which are governed by our Privacy Policy.

If you post a review, it must be genuine and based on your real experience. You must not post fake, misleading or paid-for reviews without clearly disclosing any incentive, and you must not post reviews on behalf of others to mislead customers. We take reasonable and proportionate steps to prevent fake or misleading reviews on our Services.

You confirm that: (i) you own or have all necessary rights to your Feedback; (ii) you have disclosed any compensation or incentive connected to it; and (iii) your Feedback complies with these Terms. We are not obliged to keep Feedback confidential, to pay for it, or to respond to it.

We may (but need not) monitor, edit or remove Feedback we consider unlawful, offensive, defamatory, obscene, misleading or otherwise objectionable, or that infringes anyone's rights. Your Feedback must not infringe any third-party right (including copyright, trade mark or privacy), must not be abusive, defamatory or unlawful, and must not contain malware. You must not misrepresent your identity or the origin of any Feedback. You are responsible for your Feedback and its accuracy.

Section 12 — Errors, Inaccuracies and Omissions

Occasionally there may be typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct any errors and change or update information, or cancel orders where information was inaccurate, at any time without prior notice (including after you have submitted your order). If we cancel an order you have already paid for because of an error, we will give you a full refund.

Section 13 — Prohibited Uses

You may use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to break any applicable laws or regulations; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, harm, defame, intimidate or discriminate against anyone; (e) to submit false or misleading information; (f) to use material that does not comply with these Terms; (g) to send spam, chain letters or unsolicited promotional material; (h) to impersonate any person or entity; or (i) to behave in any way that restricts anyone's use of the Services or that may harm Nueve Code, Shopify or other users.

You also agree not to: (a) upload or transmit viruses or malicious code; (b) reproduce, duplicate, copy, sell, resell or exploit any part of the Services; (c) collect or track others' personal information; (d) spam, phish or pretext the Services; (e) use any robot, spider, scraper, data-extraction tool, AI tool (such as agentic AI) or other automated means to access the Services, except as permitted under Section 14; or (f) interfere with or circumvent the security or access-control features of the Services. We may suspend, disable or terminate your account if you breach these Terms.

Section 14 — Agents

14.1 This section ("Agent Terms") applies if you use, allow, enable or cause the deployment of an Agent to access or interact with the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, and that can run without direct supervision.

14.2 No Agent may access or interact with the Services unless it identifies itself and operates in strict accordance with Section 14.4. No Agent may access the Services if we have asked it to refrain from doing so.

14.3 We may limit, including by technical measures, whether and how any Agent accesses the Services.

14.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose its name in the user-agent string as "Agent/[agent name]"; (ii) not conceal that access is from an Agent, including by mimicking human behaviour or circumventing CAPTCHAs or similar measures; (iii) respond truthfully to any prompt asking whether interactions come from a human or a computer; and (iv) not circumvent any measure intended to control how Agents access the Services.

Section 15 — Termination

We may terminate this agreement or your access to the Services at any time, and where we do so other than for your breach we will give you reasonable notice where practicable. You remain liable for all amounts due up to the date of termination. Any refunds owed to you for orders already placed are unaffected by termination.

The following sections survive termination: Intellectual Property, Reviews and Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive.

Section 16 — Disclaimer of Warranties

The information presented on the Services is provided for general information only. We do not warrant that this information is accurate, complete or useful, and any reliance you place on it is at your own risk.

Except as expressly stated by Nueve Code, and except for your statutory rights as a consumer, the Services and all products offered through them are provided "as is" and "as available" without warranties or conditions of any kind, whether express or implied. We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free.

If you are a consumer, this section does not affect your legal rights, including your rights that goods be of satisfactory quality, as described and fit for purpose. Nothing in this section limits the rights described in Section 17.

Section 17 — Limitation of Liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of your statutory rights as a consumer; or (d) any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above:

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that is not foreseeable. We are not liable for loss arising from your use of the products for any commercial or business purpose.

If you are a business, to the fullest extent permitted by law we (and our partners, directors, officers, employees, affiliates, agents, contractors, service providers and licensors, and those of Shopify) are not liable for any indirect, incidental, special, punitive or consequential loss, or for any loss of profit, revenue, savings, data or goodwill, arising from your use of the Services or any products, whether in contract, tort (including negligence) or otherwise.

Section 18 — Indemnification

If you are a business user, you agree to indemnify and hold harmless Nueve Code, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable legal costs, arising out of (1) your breach of these Terms, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

If you are a consumer, you are responsible for loss or damage we suffer that is caused by your breach of these Terms or your unlawful use of the Services, but only to the extent it is a foreseeable result of your actions. Nothing in this section requires you to compensate us beyond what the law allows.

We will notify you of any claim we seek to be indemnified for. We may control the defence and settlement of such a claim, but will not settle any claim imposing non-monetary obligations on you without your consent (not to be unreasonably withheld), and you agree to reasonably cooperate.

Section 19 — Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the unenforceable part will be severed. This will not affect the validity of the remaining provisions.

Section 20 — Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms, together with any policies we post, form the entire agreement between you and us regarding your use of the Services, superseding any prior agreements between us.

If you are a consumer, any ambiguity in these Terms will be interpreted in your favour.

Section 21 — Assignment

You may not transfer or assign these Terms or your rights or obligations under them without our prior written consent, and any attempt to do so is void. We may transfer or assign these Terms and our rights and obligations, provided this does not reduce your rights under these Terms or your statutory rights as a consumer.

Section 22 — Governing Law

These Terms and any dispute or claim arising out of them are governed by the laws of England and Wales. You and Nueve Code agree that the courts of England and Wales will have jurisdiction, except that:

  • if you are a consumer resident in Scotland, you may also bring proceedings in Scotland, and if you are resident in Northern Ireland, you may also bring proceedings in Northern Ireland; and
  • if you are a consumer resident outside the UK, you keep the benefit of any mandatory consumer protections of your country of residence.

Section 23 — Headings

Headings are for convenience only and do not affect the interpretation of these Terms.

Section 24 — Changes to These Terms

You can review the most current version of these Terms at any time on this page. We may update or replace any part of these Terms by posting changes to our website. We will notify you of any material changes in accordance with applicable law, and such changes take effect on the date specified in the notice. Your continued use of the Services after changes are posted constitutes acceptance of those changes. If you do not agree to a material change, you should stop using the Services.
